Terms of Service

These Terms of Service ("Terms") govern your access to and use of the QuickSOP web application and Chrome browser extension (collectively, the "Service") operated by QuickSOP ("we", "our", or "us"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

QuickSOP is a SaaS platform that enables users to create Standard Operating Procedures (SOPs) by documenting their browser-based workflows. The Service includes:

  • A Chrome browser extension that documents clicks, screenshots, and form interactions during workflow capture sessions
  • AI-powered processing that transforms captured workflows into professional, step-by-step documentation
  • A web dashboard for managing, editing, organizing, and sharing SOPs
  • Team collaboration features for sharing SOPs across an organization

3. Account Registration

To use the Service, you must create an account. You agree to provide accurate and complete information and to keep your account credentials secure. You are responsible for all activity that occurs under your account. You must notify us immediately at support@quicksop.com if you suspect unauthorized access to your account.

4. Subscription Plans and Payment

4.1 Free and Paid Plans

QuickSOP offers both free and paid subscription plans. The features, limitations, and pricing of each plan are described on our pricing page. We reserve the right to modify plan features and pricing with reasonable notice.

4.2 Billing

Paid subscriptions are billed in advance on a monthly or annual basis depending on the plan you select. Payment is processed by our third-party payment processor. By subscribing, you authorize us to charge your payment method on each billing cycle until you cancel.

4.3 Price Changes

We may change subscription prices with at least 30 days' notice. Price changes will take effect at the start of your next billing cycle after the notice period. If you do not agree with a price change, you may cancel your subscription before it takes effect.

4.4 Taxes

All fees are exclusive of applicable taxes (such as VAT, GST, or sales tax) unless stated otherwise. You are responsible for any taxes associated with your subscription.

5. Cancellation and Refunds

You may cancel your subscription at any time from your account settings or by contacting us. Please see our Refund Policy for details on refunds and cancellation terms.

6. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms and our Acceptable Use Policy. You must not:

  • Use the Service to document or capture content you do not have the right to access
  • Document sensitive information belonging to others without their consent
  • Attempt to reverse-engineer, decompile, or disassemble the Service
  • Interfere with or disrupt the Service or its infrastructure
  • Use the Service to violate any applicable law or regulation
  • Share your account credentials with unauthorized third parties
  • Use automated tools to access the Service (bots, scrapers, etc.)
  • Upload or transmit viruses, malware, or other harmful code

7. Intellectual Property

7.1 Our Property

The Service, including its design, code, features, documentation, and branding, is owned by QuickSOP and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or brand features.

7.2 Your Content

You retain ownership of the SOPs and content you create using the Service ("Your Content"). By using the Service, you grant us a limited license to host, store, process, and display Your Content solely for the purpose of providing the Service to you. This license terminates when you delete Your Content or your account.

7.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us the right to use such feedback without obligation to you.

8. AI Processing

The Service uses AI to process and enhance your SOP content. While we strive for accuracy, AI-generated content may contain errors. You are responsible for reviewing and verifying all AI-enhanced content before using or distributing it. We do not guarantee the accuracy, completeness, or suitability of AI-generated content.

9. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to our data practices as described in the Privacy Policy.

10. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of planned maintenance.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUICKSOP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY.

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED.

13. Indemnification

You agree to indemnify and hold harmless QuickSOP, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

14. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason with reasonable notice. Upon termination, your right to use the Service ceases immediately. You may export your data before termination. Provisions that by their nature should survive termination will survive (including intellectual property, limitation of liability, and indemnification).

15. Modifications to Terms

We may modify these Terms at any time. We will notify you of material changes by posting updated Terms on this page and updating the "Last updated" date. For significant changes, we may also notify you by email. Your continued use of the Service after changes constitutes acceptance of the modified Terms.

16. Governing Law

These Terms are governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through good-faith negotiation first, and if unsuccessful, through binding arbitration or in the courts of competent jurisdiction.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

18. Entire Agreement

These Terms, together with the Privacy Policy, Refund Policy, and Acceptable Use Policy, constitute the entire agreement between you and QuickSOP regarding the Service.
